Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Yemzio platform (“Platform”), operated by A.M.K. Ecoleaf Ltd, a company incorporated in the Republic of Cyprus with registration number HE272640 (“Yemzio”, “Company”, “we”, “us”, or “our”).

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree with these Terms, you should not access or use the Platform.

1. Overview of the Platform

Yemzio is a software platform designed for venture capital firms, investment teams, and similar users who manage startup dealflow. The Platform connects to a user’s email environment and transforms incoming startup introductions into structured startup profiles and organized dealflow pipelines.

Instead of managing opportunities across disconnected tools such as email inboxes, spreadsheets, and internal notes, Yemzio centralizes dealflow into a single system where users can review opportunities, collaborate internally, track communication history, and manage their investment pipeline.

The Platform is provided as a business tool and should be used only for professional purposes.

2. Eligibility and Use

You may use the Platform only if you are at least 18 years old and legally capable of entering into a binding agreement.

If you access or use the Platform on behalf of a company, investment fund, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In such cases, “you” refers to both you as an individual user and the entity you represent.

3. Account Registration and Security

To access the Platform, you are required to create an account. You agree to provide accurate and complete information during registration and to keep this information updated where necessary.

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. Yemzio will not be liable for any loss or damage arising from unauthorized use of your account resulting from your failure to safeguard your credentials.

If you become aware of any unauthorized access or suspected breach of your account, you must notify us without delay.

4. Subscription, Pricing, and Billing

Yemzio operates as a subscription-based software service. Access to certain features of the Platform may require a paid subscription, depending on the plan selected.

Subscription plans may include free, individual, team-based, and enterprise options. The features, usage limits, and pricing associated with each plan are defined on the Platform or in a separate commercial agreement.

Subscriptions are billed in advance on a recurring basis, unless otherwise agreed. All fees are non-refundable except where required by applicable law. If payment is not successfully processed, we reserve the right to suspend or terminate access to the Platform.

We may update pricing or subscription terms from time to time. Any changes will be communicated in advance and will not affect already paid subscription periods.

5. Acceptable Use

You agree to use the Platform in a lawful and responsible manner.

You must not use Yemzio to upload, store, process, or transmit any content that is unlawful, misleading, infringing, or harmful. You also agree not to interfere with the integrity, performance, or security of the Platform, including attempting to gain unauthorized access, reverse engineer the system, or exploit vulnerabilities.

The Platform is intended to support legitimate investment workflows. Any misuse of the Platform, including the unauthorized use of third-party data, remains solely your responsibility.

6. User Data and Data Processing

You retain ownership of all data that you upload to or process through the Platform. This includes, but is not limited to, startup information, founder communications, pitch materials, internal notes, and any other data associated with your dealflow.

In providing the Platform, Yemzio acts as a data processor, while you act as the data controller. We process your data solely for the purpose of operating the Platform, providing support, and improving the service in aggregated or anonymized form.

We do not sell your data and do not use it for purposes unrelated to the provision of the Platform.

7. Email Integration and Access to Communications

A core feature of Yemzio is its integration with user email systems. By enabling this functionality, you authorize Yemzio to access and process relevant email communications for the purpose of capturing and structuring startup introductions within the Platform.

You represent and warrant that you have the legal right to grant such access and that your use of the Platform complies with all applicable data protection and confidentiality obligations.

Yemzio limits access to email data to what is necessary for the proper functioning of the Platform. We do not access or review user data beyond what is required to provide the service or support, and any such access is restricted and controlled.

8. Confidentiality and Sensitive Information

The Platform may process highly sensitive and confidential information, including startup materials, investor communications, financial data, and internal evaluations.

Yemzio implements appropriate technical and organizational measures to protect such data. However, you remain responsible for managing access within your organization and ensuring that only authorized individuals have access to your account and data.

9. Intellectual Property Rights

All intellectual property rights in and to the Platform, including its software, design, features, and underlying technology, are owned by Yemzio or its licensors.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use the Platform for your internal business purposes during the term of your subscription.

Nothing in these Terms grants you ownership of the Platform or any related intellectual property.

10. Beta Features

From time to time, Yemzio may offer features that are identified as beta, experimental, or in development. These features are provided for testing and evaluation purposes and may be incomplete, unstable, or subject to change.

Use of beta features is at your own risk, and Yemzio makes no guarantees regarding their performance or availability.

11. Service Availability

While we strive to maintain a reliable and secure Platform, we do not guarantee uninterrupted or error-free operation.

The Platform may be temporarily unavailable due to maintenance, updates, or technical issues. Yemzio shall not be liable for any losses resulting from such interruptions.

12. Disclaimer and No Investment Advice

Yemzio is a software tool designed to support dealflow management. It does not provide investment advice, recommendations, or evaluations.

All investment decisions made using the Platform are your sole responsibility. You acknowledge that the Platform is not a substitute for professional judgment or due diligence.

13. Limitation of Liability

To the maximum extent permitted by law, the Platform is provided on an “as-is” and “as-available” basis.

Yemzio shall not be liable for any indirect, incidental, or consequential damages, including loss of data, loss of profits, missed investment opportunities, or business interruption arising from the use of the Platform.

Our total liability under these Terms shall not exceed the total amount paid by you to Yemzio in the twelve (12) months preceding the claim.

14. Termination

You may stop using the Platform at any time.

We may suspend or terminate your access if you breach these Terms, fail to pay applicable fees, or misuse the Platform.

Upon termination, your access will be revoked. We may retain or delete your data in accordance with our data retention policies and legal obligations.

15. Changes to the Terms

We may update these Terms from time to time to reflect changes in the Platform or legal requirements.

Where changes are material, we will provide notice. Continued use of the Platform after such changes constitutes acceptance of the updated Terms.

16. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of Cyprus.

Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Cyprus.
